Put this one in your files for the proposition that ratification is not a defense to breach of fiduciary duty, breach of contract, fraud, statutory fraud, or unjust enrichment.  Also, note that conduct surrounding and leading up to a contract is logically related to the contract and part of the same transaction for purposes of Tex.
